ACCIONA Energía To Sell 232 MW Gouda Wind And Sishen Solar Projects To Cennergi For €255M, Generating €65M Capital Gain

ACCIONA Energía has reached an agreement with Cennergi, a wholly owned subsidiary of Exxaro Resources Limited and one of South Africa’s leading renewable energy producers, to sell its stake in two renewable energy assets with a combined capacity of 232 MW, for an enterprise value of €255 million. The two projects included in the transaction are the Gouda wind farm, with a capacity of 138 MW, and the Sishen photovoltaic plant, with a capacity of 94 MWp. The Gouda wind farm has been in operation since 2015, while the Sishen photovoltaic plant has been operational since 2014.

ACCIONA Energía owns 55% of each project through ACCIONA Energía Internacional, a company in which AXA holds a 20% stake and Bestinver Infra FCR holds 5%, while the remaining 45% of the projects is owned by Royal Bafokeng Holdings (25%), Soul City (10%), and a Community Trust (10%). The agreement also includes ACCIONA Energía’s 80% stake in the company responsible for the operation and maintenance of both projects. The transaction is expected to close in 2026, subject to customary regulatory approvals, and is anticipated to generate a capital gain of approximately €65 million. The assets are supported by project financing of €100 million.

This sale forms part of ACCIONA Energía’s ongoing asset rotation strategy, which was announced in November 2023. Since that time, the company has reached agreements to sell over 1.4 GW of renewable capacity in Costa Rica, Spain, and Peru, generating more than €2 billion in value. The strategy highlights the market attractiveness of ACCIONA Energía’s renewable assets and strengthens its financial position through the crystallization of value from mature projects.
