Premier Energies Acquires 26% Stake In Hexa Energy SPV With ₹68.7 Crore Investment

Premier Energies Limited has announced a new investment to strengthen its renewable energy plans. The company will invest through its wholly owned subsidiary, Premier Energies Global Environment Private Limited. The Board approved a Share Subscription and Shareholders’ Agreement to acquire a stake in Hexa Energy BH Five Private Limited.

As part of the deal, the subsidiary will acquire at least a 26 percent equity stake in the company. The total investment is around INR 68.70 crore. The transaction will be done in cash and may be completed in one or more stages.

Hexa Energy BH Five Private Limited is a special-purpose vehicle set up in April 2025 and is based in Gurgaon, Haryana. The company focuses on renewable energy generation and transmission. Since it is a new entity, it does not have any past financial track record for the last three years.

The main purpose of this investment is to secure power for captive use. The electricity generated by Hexa Energy will be used to support Premier Energies’ Solar PV Cell Manufacturing Project in Naidupeta, Andhra Pradesh. This step will help the company use clean energy directly in its manufacturing process and improve sustainability.

Premier Energies also confirmed that this deal is not related to any promoters or group companies. There was no prior interest in Hexa Energy, and the transaction has been carried out on an arm’s length basis.

The deal will be completed after meeting standard regulatory and agreement conditions. The company expects the process to be finished within 16 months.
