Clean Max Enviro Energy Solutions Limited has announced the sale of its entire stake in its subsidiary, Clean Max Hana Private Limited, to TCPL Packaging Limited. The development was officially disclosed after the execution of a formal Share Purchase Agreement between the two companies.
Clean Max Hana Private Limited is a newly incorporated company that was established on June 18, 2025. Due to its recent formation, the subsidiary did not contribute to the turnover, revenue, or net worth of the parent company during the previous financial year. As a result, the divestment does not have any significant financial impact on the historical financial performance of Clean Max Enviro Energy Solutions. The move represents a complete exit from the subsidiary, transferring full ownership to the acquiring company.
The buyer, TCPL Packaging Limited, is a Mumbai-based company with its office located at the Empire Mills Complex in Lower Parel. In its official disclosure, Clean Max Enviro Energy Solutions clarified that TCPL Packaging Limited is not part of its promoter group or any related group entities. The company also confirmed that the transaction does not qualify as a related party transaction, ensuring that the deal has been conducted independently and on standard commercial terms.
According to the filing, the total consideration for the sale has been fixed at ₹26,000. Both companies have agreed on a timeline for completing the transaction, with the final closure expected on or before March 31, 2026. However, the completion date may be adjusted if both parties mutually agree to any changes.
The disclosure was made in accordance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. Through this filing, Clean Max Enviro Energy Solutions has ensured that all relevant information regarding the transaction is made available to investors and the broader market in a transparent manner.
