UPERC Dismisses UPPCL Petition On Solar PPA, Allows Withdrawal For Legal Correction In Uttar Pradesh

The Uttar Pradesh Electricity Regulatory Commission (UPERC) has dismissed a petition filed by Uttar Pradesh Power Corporation Limited regarding the approval of a solar energy agreement, after allowing the utility to withdraw its request. The case, registered as Petition No. 2324 of 2025, was heard in Lucknow by a bench comprising Chairman Arvind Kumar and Member Sanjay Kumar Singh.

The petition was related to the approval of a Supplementary Power Purchase Agreement (PPA) dated September 10, 2025. This agreement was signed between UPPCL and Vibhuti Infraprojects Private Limited. The need for this supplementary agreement arose after the solar power business of Technical Associates Limited was demerged. As per an order issued by the National Company Law Tribunal on June 3, 2025, the solar business, including a 2 MW solar project, was transferred to VIPL.

During the hearing held on March 19, 2026, the Commission raised an important issue related to the execution of the agreement. It pointed out that the original PPA for the project, signed on August 14, 2010, was executed by Madhyanchal Vidyut Vitran Nigam Limited, which is the concerned distribution company. However, the new Supplementary PPA had been executed by UPPCL instead of MVVNL. The Commission asked why the signing authority had shifted from the distribution company to the central utility.

In response, UPPCLโ€™s legal counsel, Divyanshu Bhatt, requested permission to withdraw the petition. He informed the Commission that the company intends to execute a fresh Supplementary PPA that properly aligns with the original agreement structure and legal requirements. The revised agreement would then be submitted again for approval.

The Commission accepted this request and allowed the withdrawal of the petition. As a result, the case was dismissed as withdrawn on March 25, 2026.

With this decision, the matter now goes back to UPPCL. The utility will need to correct the procedural and legal issues in the agreement before approaching the Commission again for approval.
