Adani Green Energy Incorporates Two New Renewable Energy Subsidiaries in India

Adani Green Energy Ltd (AGEL) has expanded its renewable energy portfolio by incorporating two new step-down subsidiary companies aimed at strengthening its presence in the clean energy sector.

In a regulatory filing dated May 7, 2026, the company informed stock exchanges that its subsidiary, Adani Renewable Energy Sixty Four Ltd (ARE64L), has incorporated two wholly owned subsidiaries โ€” ARE64L Step-One Renewable Energy Ltd (ARE64S1L) and ARE64L Step-Two Renewable Energy Ltd (ARE64S2L). Both entities were incorporated in India on May 7, 2026.

According to the filing, the newly formed companies will focus on the generation of electricity using renewable energy sources, reflecting Adani Greenโ€™s continued push toward expanding its clean power capacity. The incorporation was completed through cash consideration, with each company being established with an authorised capital of โ‚น1 lakh.

While Adani Green will not directly hold shares in the two new entities, the companies become step-down subsidiaries through ARE64L, in which AGEL holds a 50 percent stake. ARE64L, in turn, will hold 100 percent ownership in both newly incorporated firms.

The move is seen as part of Adani Greenโ€™s broader strategy to create dedicated project entities for renewable power development. Such corporate structures are commonly used in the energy sector to streamline project execution, financing, and regulatory compliance.
