GE Vernova Inc. has signed an agreement to acquire Trench Group, a global manufacturer of high-voltage grid equipment, from investment firm Triton Partners for an amount equivalent to $9 billion. The acquisition is aimed at strengthening GE Vernova’s electrification business, expanding its grid technology portfolio and increasing its ability to meet rising global demand for electricity transmission and distribution infrastructure.
Under the agreement, GE Vernova will pay the equivalent of $9 billion at closing, with the transaction currently expected to be funded equally through cash and debt. The acquisition is expected to close in late 2027, subject to customary regulatory approvals and consultations with employee representatives wherever legally required.
The transaction will strengthen GE Vernova’s Grid Systems Integration and Power Transmission businesses by integrating Trench’s complementary product portfolio and manufacturing capabilities. The combination is expected to help the company provide more comprehensive solutions for grid modernization, energy security and electrification as electricity demand increases worldwide.
Trench Group has more than 130 years of engineering experience and serves over 800 utilities and hyperscalers globally. Its product portfolio includes high- and medium-voltage bushings, instrument transformers and coils used in electrical transmission and distribution networks. The company employs more than 3,000 people and operates 11 manufacturing sites across Europe, North America and Asia.
GE Vernova expects the acquisition to generate potential synergies through complementary products, expanded geographical coverage, established customer relationships and advanced manufacturing capabilities. Trench’s manufacturing operations use automation, robotics and artificial intelligence-supported processes, which could support production efficiency and help address growing demand for high-voltage grid equipment.
According to GE Vernova Chief Executive Officer Scott Strazik, Trench’s technology, execution capabilities and customer relationships will support the development of modern and resilient electricity grids. He highlighted that Trench has approximately $5 billion in backlog and framework agreements, with some commitments extending into the next decade. This provides visibility into future business activity and is expected to contribute to the strategic and financial value of the acquisition.
Trench Group President and Chief Executive Officer Dr. Bahadir Basdere said joining GE Vernova would provide the company with greater scale, access to additional markets and opportunities to expand its technological capabilities. He added that the combination could help make Trench’s high-voltage components available to more customers while maintaining its focus on product quality, reliability and customer service.
Trench’s products are used in a majority of high-voltage direct current transmission lines built globally. These components play an important role in large-scale electricity networks, supporting the movement of power over long distances. The company also offers technologies designed to address increasingly stringent environmental requirements, including SF6-free and mineral oil-free solutions that can reduce the use of hazardous materials and lifecycle emissions.
The acquisition comes as electricity networks face increasing pressure from ageing infrastructure, expanding data centre capacity, renewable energy integration and industrial electrification. Higher-voltage transmission lines are becoming increasingly important for transporting larger volumes of electricity efficiently. According to GE Vernova, these lines can carry up to six times more power per corridor than conventional lines.
The transaction will also strengthen GE Vernova’s manufacturing capabilities in North America. Trench’s newly opened facility in Charlotte, North Carolina, is expected to begin manufacturing 765-kilovolt equipment in late 2027. The facility could support demand for advanced transmission infrastructure as utilities expand grid capacity.
Through the acquisition, GE Vernova aims to reinforce its position in the global electrification market and expand its capacity to supply critical grid components during a period of growing investment in electricity infrastructure.
