Borosil Renewables Initiates Voluntary Insolvency Proceedings For German Subsidiary Geosphere Glassworks

Borosil Renewables Limited has informed the stock exchanges about the start of a voluntary insolvency process for its wholly owned subsidiary in Germany, Geosphere Glassworks GmbH. The company shared that the insolvency application was filed by Geosphereโ€™s Managing Director on December 22, 2025, before the insolvency court in Cottbus, Germany. Borosil Renewables received formal intimation of this development on the afternoon of December 23, 2025, and disclosed the information in line with SEBI Listing Regulations.

This step comes in the backdrop of the ongoing insolvency proceedings of GMB Glasmanufaktur Brandenburg GmbH, which is a step-down subsidiary of Borosil Renewables. GMB was once known as the largest producer of solar glass in Europe, but entered insolvency in July 2025 due to operational and financial challenges.

Geosphere Glassworks GmbH was mainly set up as a non-operating special purpose vehicle. Its primary role was to hold a majority stake in GMB. The decision to initiate insolvency proceedings for Geosphere was triggered by a financial claim raised by a German government bank. The bank demanded the repayment of a capital subsidy amounting to EUR 4.81 million that had earlier been granted to GMB. Since GMB could not continue operations for the required period after receiving the subsidy and entered insolvency, the bank held Geosphere responsible as the majority shareholder.

Geosphere has stated that it does not have the financial capacity to meet this repayment demand. It also pointed out that the absence of adequate protective measures from the European Union and the German government for local solar glass manufacturing played a major role in the shutdown of operations.

Borosil Renewables has clarified that the insolvency filing will not have a material impact on its current financial position. The company had already provided for its entire exposure related to Geosphere and GMB, amounting to Rs. 13,003.09 lakhs, which included investments and loans. This provision was recorded as an exceptional item in the financial results for the quarter ended June 30, 2025.

The company also noted that Geosphereโ€™s contribution to its consolidated turnover was minimal. For the financial year ended March 31, 2025, Geosphere accounted for only 0.06% of the consolidated turnover. Borosil Renewables has stated that it continues to monitor the situation closely and has made all necessary disclosures as required under regulatory norms.
