Sahaj Solar Limited, a solar energy company based in Ahmedabad, has taken a significant step in its international growth strategy by incorporating a new subsidiary in Zambia. The company made this announcement through a formal disclosure to the National Stock Exchange of India on January 27, 2026, in line with regulatory requirements. The newly formed entity has been named Sahaj Renewable Energy Zambia Limited.
According to the filing, the subsidiary was officially incorporated on January 26, 2026, as a private company limited by shares. The incorporation was completed following the issuance of a Certificate of Incorporation by Zambiaโs Patents and Companies Registration Agency. Sahaj Solar Limited holds an overwhelming majority stake of 99.99% in the new company. This was achieved through the acquisition of 19,999 equity shares at a price of 1 per share, with the total subscription and acquisition cost amounting to K 20,000.
The move is closely aligned with Sahaj Solar Limitedโs core business focus on renewable energy. The Zambian subsidiary has been classified under the electricity, gas, steam, and air conditioning supply industry. As per the regulatory disclosure, the main objectives of Sahaj Renewable Energy Zambia Limited include electric power generation, transmission, and distribution. The scope of activities also covers the supply of steam and air conditioning, indicating a broad approach to energy and utility services in the region.
Being a newly incorporated company, Sahaj Renewable Energy Zambia Limited has not yet started its business operations. As a result, its turnover currently stands at nil. Sahaj Solar Limited clarified in its filing that the investment was made entirely through cash consideration. The company also confirmed that no specific governmental or regulatory approvals were required for setting up the subsidiary in Zambia.
In addition, Sahaj Solar Limited stated that the transaction does not fall under the category of related party transactions. The promoter group of the company does not have any interest in the newly incorporated entity beyond what exists under the normal corporate structure.
The disclosure was signed by Pramit Bharatkumar Brahmbhatt, Managing Director of Sahaj Solar Limited, and was made under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. With this development, Sahaj Solar Limited has marked its entry into the African energy market, signaling its intent to explore new opportunities and contribute to the development of power infrastructure in Zambia.
