Clean Max Enviro Energy Solutions Limited has received board approval to partially divest its equity stakes in two wholly owned subsidiaries, Clean Max Muoi Private Limited and Clean Max Chin Private Limited. The company disclosed the decision to the BSE Limited and the National Stock Exchange of India Limited on August 17, 2026, under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations.
Under the approved transactions, Clean Max Enviro Energy Solutions will sell a 26% stake in Clean Max Muoi Private Limited to Relaxo Footwears Limited. The transaction involves the transfer of 2,600 shares for a total consideration of INR 26,000.
Separately, the company will divest a 49% stake in Clean Max Chin Private Limited to VVDN Technologies Private Limited. The proposed transaction covers 4,900 shares for a total consideration of INR 49,000.
Both subsidiaries were incorporated recently on June 13, 2026, under the Companies Act, 2013. As they were established during the current financial year, neither company contributed to Clean Max Enviro Energy Solutions’ turnover, revenue, income, or net worth during the preceding financial year.
The company plans to execute Share Purchase Agreements with both buyers on or before October 30, 2026. Completion of the stake transfers and receipt of the consideration are also expected by October 30, 2026, unless another date is mutually agreed by the parties.
Clean Max Enviro Energy Solutions stated that Relaxo Footwears and VVDN Technologies are not part of its promoter, promoter group, or group companies. The transactions are also not classified as related party transactions and are not being undertaken through a slump sale or scheme of arrangement.
