Clean Max To Sell 26% Stake In Subsidiary Clean Max Hachi To Chambal Fertilizers

Clean Max Enviro Energy Solutions Limited has approved the sale of 2,600 shares in its wholly owned subsidiary, Clean Max Hachi Private Limited, to Chambal Fertilizers and Chemicals Limited for a total consideration of ₹26,000. The transaction represents 26% of the subsidiary’s total paid-up share capital and was approved by the company’s Board of Directors on 16 October 2026.

AUXSOL

The share sale is expected to be completed on or before 30 November 2026. The Share Purchase Agreement between the parties is also scheduled to be executed by the same date. Following the transaction, Chambal Fertilizers and Chemicals Limited will acquire a 26% stake in Clean Max Hachi Private Limited, reducing Clean Max Enviro Energy Solutions Limited’s ownership in the subsidiary.

ReNew

Clean Max Hachi Private Limited was incorporated on 17 June 2026. As a newly established entity, it did not contribute any turnover, revenue, income or net worth to Clean Max Enviro Energy Solutions Limited during the previous financial year. The proposed transaction therefore involves a subsidiary that has no reported financial contribution for that period.

Chambal Fertilizers and Chemicals Limited, the acquiring company, has its registered office in Gadepan, Kota, Rajasthan. The buyer is independent of Clean Max Enviro Energy Solutions Limited’s promoter and promoter group. The transaction has also been classified as a non-related-party transaction, indicating that it does not fall within the related-party transaction category.

The proposed divestment forms part of Clean Max Enviro Energy Solutions Limited’s corporate activities involving its subsidiary structure. The transaction value of ₹26,000 reflects the consideration for the transfer of the specified shares, rather than the valuation of the subsidiary’s entire business.

The sale is scheduled for completion by 30 November 2026, subject to the execution of the Share Purchase Agreement and completion of the required transaction formalities.
