Nexus Renewables Appoints Faizan Farooqi To Board, Replacing Former CEO Keith Sandor Following Termination For Cause

Nexus Renewables Inc., a full-service renewable energy developer and independent power producer operating as part of the Apricus Generation platform, has announced the appointment of Faizan Farooqi, the Company’s Vice President of Engineering, to its board of directors. Mr. Farooqi fills the vacancy left by the removal of Keith Sandor, the Company’s former Chief Executive Officer.

The board appointment follows provisions under the Company’s second amended and restated shareholders’ agreement, which specifies that the Board seat previously held by Mr. Sandor is to be appointed by the President of Nexus. Mr. Sandor had been placed on paid administrative leave on June 17, 2025, as part of an investigation into matters concerning his conduct. Ravi Thuraisingham, a director of Nexus, was appointed Interim President and Chief Executive Officer at that time. Following the investigation, Mr. Sandor was terminated for cause on September 26, 2025. Despite receiving notice, he did not attend any Board meetings after being placed on leave.

Given Mr. Sandor’s termination for cause and absence from Board meetings, Nexus’ Principal Shareholders representing more than 75% of voting sharesbdetermined that his continued service on the Board was inconsistent with the shareholders’ agreement and not in the best interests of the Company. On January 29, 2026, a Special Resolution was executed to formally remove Mr. Sandor as a director and appoint Mr. Farooqi in his place. The Principal Shareholders and the Board expressed confidence that Mr. Farooqi’s operational and technical expertise will provide valuable insight and complement the management perspective, aligning with the purpose of the Board seat under the shareholders’ agreement.

Ravi Thuraisingham, Interim President and CEO, commented on the transition, stating, “Our priority is ensuring Nexus continues to execute on our mission without disruption. I look forward to leading the company through this transition and into our next phase of growth. Solar and battery storage are critical to building a more resilient and affordable energy system, and the opportunity ahead of us is significant.”

Mr. Thuraisingham brings a 30-year track record in the energy sector, having helped build, develop, and execute mergers and acquisitions for seven competitive retail energy companies, generating over $400 million in EBITDA. Faizan Farooqi has managed the development and execution of more than 100 MW of renewable energy projects across Ontario, New York, New England, and California. His appointment reflects Nexus’ ongoing focus on disciplined project execution, technical excellence, and long-term asset performance.
