Kalpataru Completes Full Exit From Kohima-Mariani Transmission With Final Stake Sale To Apraava Energy

Kalpataru Projects International Limited (KPIL) has completed the sale of its entire equity stake in Kohima-Mariani Transmission Limited (KMTL), marking the successful conclusion of a long-term disinvestment process that began nearly seven years ago. The company announced the development through a regulatory filing submitted to the BSE Limited and the National Stock Exchange of India (NSE).

According to the filing, KPIL has transferred its remaining equity shareholding in KMTL to Apraava Energy Private Limited. This final transaction completes the transfer of the company’s full ownership in the transmission project.

The disinvestment process dates back to July 2019, when KPIL signed definitive agreements with Apraava Energy for the sale of its stake in KMTL. Following the agreement, the company had already divested around 48% of its equity holding. However, the remaining stake, representing nearly 26% of the total equity shareholding, could not be transferred immediately as it was subject to regulatory approvals and other conditions specified under the transmission service agreement.

KPIL stated that all the required approvals were obtained, allowing the company to complete the transfer of the remaining 26% equity stake on June 24, 2026. With this transaction, Apraava Energy has become the full owner of Kohima-Mariani Transmission Limited.

The company further informed that it received formal confirmation of the successful completion of all regulatory and transaction-related formalities on June 25, 2026, at approximately 11:21 a.m. IST. Following the confirmation, KPIL submitted the required disclosure to the stock exchanges in compliance with Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The regulatory filing was signed by Company Secretary Shweta Girotra, who informed the exchanges about the completion of the transaction. The latest development concludes KPIL’s phased exit from KMTL, in line with the agreement reached with Apraava Energy in 2019.
