Bajel Projects Limited has granted 2,84,000 employee stock options (ESOPs) to seven eligible employees under its Employee Stock Options Plan 2024 (ESOP 2024).
The grant was approved by the company’s Nomination & Remuneration Committee (NRC) through a circular resolution dated September 1, 2026, in compliance with the applicable SEBI regulations.
Each stock option is exercisable into not more than one fully paid-up equity share of the company with a face value of ₹2. The options have been granted at an exercise price of ₹116.07 per option. The exercise price was calculated based on the company’s closing share price on BSE on August 31, 2026, with a discount, as approved by the NRC.
None of the options have vested or been exercised as of the date of the disclosure. The options will vest over a period beginning no earlier than one year and no later than five years from the grant date. Once vested, they can be exercised within a maximum period of seven years from the date of first vesting.
The ESOP scheme also specifies provisions covering events such as death, permanent incapacity, resignation, termination and retirement. Equity shares allotted upon exercise of the options will not be subject to a lock-in period.
