NTPC Green Energy To Raise ₹2,500 Crore Through 10-Year NCD Issue

NTPC Green Energy Limited, a subsidiary of NTPC Limited, has announced plans to raise ₹2,500 crore through the issuance of unsecured non-convertible debentures (NCDs) via the private placement route. The fundraising is scheduled to take place on July 9, 2026, and marks the first debenture issuance under the fundraising framework approved by the company’s Board of Directors on May 22, 2026.

The debentures will carry a fixed coupon rate of 7.27% per annum and will have a tenure of 10 years. They are set to mature on July 9, 2036, providing the company with long-term funding to support its expanding renewable energy business.

According to the company, the proceeds from the issue will primarily be used to finance capital expenditure. This includes refinancing existing capital expenditure as well as recouping investments already made in various projects. The funds will also be used to provide inter-corporate loans to the company’s subsidiaries and joint ventures, enabling them to finance their own capital expenditure requirements. Any balance amount from the issue will be utilized for general corporate purposes.

The fundraising is expected to strengthen NTPC Green Energy’s financial position as it continues to expand its renewable energy portfolio across the country. Access to long-term debt at a fixed interest rate is expected to support ongoing and future investments in clean energy projects while ensuring greater financial stability.

As part of the issuance process, the company will execute a Debenture Trust Deed within the prescribed timeline and in accordance with applicable regulatory requirements. The trust deed will establish the legal framework governing the debenture issue and protect the interests of investors.

The latest fundraising initiative reflects NTPC Green Energy’s continued focus on securing long-term capital to finance its growth plans. With significant investments planned across renewable energy projects, the company aims to use the proceeds to strengthen its operations, support its subsidiaries and joint ventures, and advance its clean energy expansion strategy in line with India’s growing renewable energy ambitions.
