Refex Renewables Promoter Entity to Acquire 30.94% Stake Through Inter-Se Transfer

Refex Holding Private Limited (RHPL), a promoter entity of Refex Renewables & Infrastructure Limited, is set to acquire 13,91,869 equity shares, representing a 30.94% stake in the company, from another promoter entity, Avyan Pashupathy Capital Advisors Private Limited (Avyan).

The proposed transaction is an inter-se transfer among promoter and promoter group entities and will be carried out under Regulation 10(1)(a)(ii) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. RHPL submitted prior intimation of the proposed acquisition to the company on August 7, 2026, with a copy also marked to BSE Limited, in accordance with Regulation 10(5) of the SEBI SAST Regulations.

The concerned parties will enter into definitive agreements and other necessary transaction documents to complete the transfer. Following the transaction, Avyan will become an outgoing promoter, and Refex Renewables will initiate the process for its reclassification, subject to the approval of the stock exchange and shareholders under Regulation 31A of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The company will make further disclosures upon execution of the definitive agreements and as required under applicable regulations.
