Westbridge Renewable Energy S.A. has entered into a definitive share purchase agreement to sell its Red Willow solar-plus-storage project in Alberta for potential total proceeds of up to CAD 26.725 million. The agreement, dated August 27, 2026, involves the sale of all issued and outstanding shares of Red Willow Solar Inc., a wholly owned subsidiary of Westbridge.
Located in Stettler County No. 6 in central Alberta, the Red Willow project comprises a solar power plant of up to 225 MWac and a proposed 100 MW battery energy storage system (BESS). The project has received power plant and substation approvals from the Alberta Utilities Commission (AUC) and holds an interconnection position in the Alberta Electric System Operator (AESO) process.
Under the agreement, Westbridge will receive CAD 10.5 million in cash at closing, along with reimbursement or replacement of the CAD 4.725 million GUOC amount. The company will also be eligible for a CAD 4.5 million payment when the battery energy storage system reaches commercial operation. An additional payment of CAD 25,000 per MWdc is payable upon commercial operation of the solar photovoltaic system and is currently estimated at approximately CAD 7 million.
The transaction remains subject to customary closing conditions, including regulatory approvals and other conditions precedent. Westbridge said the transaction is conducted at arm’s length, with no finder’s fees payable.
The sale forms part of Westbridge’s strategy of developing, de-risking and monetising renewable energy and energy storage infrastructure projects while maintaining a diversified development pipeline across North America and Europe.
Westbridge said Alberta’s renewable energy market could benefit from improving market fundamentals, including increased electricity demand from large loads and data centres. Prospective large-load transmission-service requests reported by AESO have exceeded 16 GW, compared with Alberta’s current system peak of approximately 12 GW. The company noted that the development of this demand could support electricity prices and improve the economics of new generation, although outcomes will depend on regulatory decisions, connection capacity and the timing and scale of proposed developments.
Following the Red Willow transaction, Westbridge continues to maintain an advanced-stage renewable energy and storage portfolio in Alberta. Its projects include the up-to-300 MWac Dolcy Solar + Energy Storage project, the up-to-300 MWdc Eastervale Solar project and 350 MWac of stand-alone battery energy storage projects representing more than 700 MWh of capacity.
In the United States, Westbridge is also developing solar-plus-storage and data-centre projects across markets including Texas and Louisiana. Its Southern Prairie project in Louisiana comprises 200 MWac of solar PV paired with a 55 MW battery energy storage system and has secured site control, completed initial environmental studies and selected a point of interconnection.
