Coal India Limited (CIL) has approved an investment in the rights issue of its joint venture subsidiary, CIL Rajasthan Akshay Urja Limited (CRAUL), reinforcing the company’s commitment to expanding its presence in the renewable energy sector. The decision was disclosed in a corporate filing issued on July 27, 2026, under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations.
CRAUL is a joint venture between Coal India Limited and Rajasthan Rajya Vidyut Urja Nigam Limited (RVUNL). CIL holds a majority stake of 74%, while RVUNL owns the remaining 26%. The company was incorporated on June 9, 2025, to develop renewable energy projects. Before the current rights issue, CRAUL had a paid-up capital of ₹10 lakh, of which CIL contributed ₹7.40 lakh, and RVUNL invested ₹2.60 lakh. The company has not reported any turnover so far.
As part of the approved rights issue, Coal India will subscribe to 2,22,000 equity shares with a face value of ₹10 each. The investment will be made through a cash consideration of ₹22.20 lakh. At the same time, RVUNL will subscribe to 78,000 equity shares worth ₹7.80 lakh. This will allow both partners to maintain their existing shareholding ratio of 74:26 in the joint venture.
According to the company’s disclosure, the investment will be completed through a cash transaction and is expected to be finalized within 30 days from the opening date of the rights issue. The company also clarified that the transaction does not require any government or regulatory approvals and does not qualify as a related-party transaction under applicable regulations.
CRAUL has been established to develop, construct, and operate renewable energy projects across India. Its portfolio will include solar power plants, wind energy projects, and pumped storage facilities. The electricity generated from these projects will be supplied to Rajasthan Rajya Vidyut Urja Nigam Limited, state distribution companies, commercial and industrial consumers, or sold through the open power market.
The latest investment reflects Coal India’s ongoing strategy to diversify beyond its traditional coal mining business and strengthen its participation in India’s clean energy transition. By increasing financial support for CRAUL, the company aims to accelerate the development of renewable power projects while contributing to the country’s growing focus on sustainable and low-carbon energy infrastructure.
