Clean Max Enviro Sells Stakes In Two Subsidiaries In Strategic Move

Clean Max Enviro Energy Solutions Limited has announced the sale of shares in two of its wholly owned subsidiaries as part of a strategic decision approved by its Board of Directors on April 28, 2026. The company shared this update under Regulation 30 of SEBIโ€™s Listing Obligations and Disclosure Requirements.

In the first transaction, Clean Max will sell 4,900 shares of Clean Max Solomon Private Limited to SAMHI Hotels Limited. Clean Max Solomon is a recently formed company, incorporated on April 23, 2025. As it is still new, it has not contributed to the companyโ€™s revenue, turnover, or net worth in the previous financial year. The total value of this deal is INR 49,000.

In the second transaction, the company will sell 2,600 shares of Clean Max Ilgohp Private Limited to Nuvoco Vistas Corporation Limited. This subsidiary was also set up recently, on October 24, 2025, and has not yet made any financial contribution to the parent company. The consideration for this sale is INR 26,000.

Clean Max Enviro Energy Solutions has stated that it plans to sign the final Share Purchase Agreements for both deals on or before June 30, 2026. The company also expects to complete the transactions by the same date, unless all parties agree to a different timeline.

The company has clarified that both SAMHI Hotels Limited and Nuvoco Vistas Corporation Limited are not related to its promoter group. It also confirmed that these transactions are not related-party deals and do not fall under the slump sale categories. Additionally, the sales are being carried out independently and are not part of any Scheme of Arrangement.
