Nestlé India Limited has entered into a Share Subscription and Shareholders’ Agreement to acquire a 26% equity stake in Radiance KA Sunshine Seven Private Limited, a subsidiary of Radiance Renewables, to strengthen its access to renewable power for its manufacturing operations.
Under the agreement executed on August 27, 2026, Nestlé India will acquire 7,612,500 equity shares of Radiance KA Sunshine Seven, each having a face value of ₹10, at par. The total investment will amount to ₹7.61 crore and will be funded through the company’s internal accruals.
Radiance KA Sunshine Seven owns and operates a solar power plant with a capacity of 17.5 MW AC and 26.25 MWp DC in Koppal, Karnataka. The company is engaged in the generation and sale of solar renewable energy. Nestlé India expects to complete the acquisition within 30 days from the execution of the agreement, or within another mutually agreed timeframe.
The acquisition will enable Nestlé India to qualify as a captive user under applicable Indian electricity laws, supporting the supply of renewable power to one of its manufacturing facilities. The investment is also aligned with the company’s sustainability strategy to increase renewable energy adoption across its manufacturing footprint.
Radiance KA Sunshine Seven reported a turnover of ₹17.09 crore in FY2023-24, ₹15.76 crore in FY2024-25 and ₹15.80 crore in FY2025-26. The transaction does not qualify as a related-party transaction, and no prior regulatory or governmental approvals are required for its completion.
