Tata Power Board Approves INR 4,500 Crore Fundraising Through Non-Convertible Debentures

The Tata Power Company Limited has announced that its Board of Directors has approved a proposal to raise up to ₹4,500 crore through the issuance of Non-Convertible Debentures (NCDs). The company shared the decision with the BSE Limited and the National Stock Exchange of India Limited (NSE) in line with the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

According to the official filing, the company plans to raise the funds through debt securities that will be non-cumulative, redeemable, taxable, listed, and rated. The NCDs may be issued in one or more series or tranches on a private placement basis. Eligible investors include individuals, companies, corporate bodies, banks, financial institutions, and other entities allowed under the applicable laws.

Tata Power said that the proposed fundraising is within the borrowing limits approved by shareholders at the company’s Annual General Meeting held on July 4, 2025. The funds raised from the issue will mainly be used to refinance existing loans and meet other general corporate requirements.

The decision was taken during a Board meeting held on July 27, 2026. The meeting started at 2:00 p.m. IST and ended at 4:15 p.m. IST. The regulatory filing was signed and submitted by Company Secretary Vispi S. Patel.

The company believes that raising funds through NCDs will help strengthen its financial position by improving debt management, maintaining liquidity, and securing competitive financing for its ongoing business operations.
